These Terms and Conditions (“Terms”) govern your use of our website www.whitesparkles.com (the “Site”) and your relationship with Whitesparkles in connection with our jewelry manufacturing and B2B services. By accessing the Site or engaging with us for business, you agree to comply with these Terms. If you do not agree, please refrain from using our services.

1. Company Overview

Whitesparkles is a jewelry manufacturer offering OEM (Original Equipment Manufacturing) and ODM (Original Design Manufacturing) services to businesses around the world. We specialize in producing gold and silver jewelry with diamonds and gemstones, outsourcing production to qualified local vendors. Our operations are based in Bangkok, Thailand, with support teams in India.

2. Business Engagement

Our services are intended for business-to-business (B2B) use only. By engaging with us, you confirm that you are representing a business and not acting as an individual consumer.

3. Custom Orders and Design Services

We offer design, CAD creation, and prototyping services as part of our manufacturing process. All custom orders are subject to confirmation based on design feasibility, material availability, and production timelines. Design ownership and intellectual property rights will be agreed upon in advance, typically via a separate agreement or formal quote approval.

4. Quotations and Pricing

All quotes are valid for a limited period as specified in the quotation document. Prices are based on the prevailing cost of raw materials, labor, and other variables at the time of quoting. We reserve the right to revise prices prior to final order confirmation if there is a significant change in material cost or currency fluctuation.

5. Orders and Payment Terms

  • All confirmed orders require written approval (PO, signed quotation, or email confirmation).
  • Production typically begins after a deposit payment (standard: 50% unless otherwise agreed).
  • Final balance is due before shipment unless credit terms are pre-approved.
  • We accept payment via bank transfer or other agreed methods.

6. Production Timelines

Lead times vary depending on the nature of the order. Standard production times are communicated during order confirmation. While we strive to meet deadlines, Whitesparkles is not liable for delays caused by force majeure, supply chain disruptions, or changes requested mid-process.

7. Quality Control and Inspection

We conduct quality checks at multiple stages of production. Clients may request third-party inspections at their cost prior to shipment. We strive to deliver products that meet the agreed specifications in terms of design, material, and finish.

8. Shipping and Delivery

  • Shipping costs are borne by the client unless otherwise agreed.
  • Risk and title pass to the client upon delivery to the carrier.
  • We assist with customs documentation and export compliance, but import duties, VAT, and local taxes are the buyer’s responsibility.

9. Returns and Claims

Returns are accepted only for manufacturing defects reported within 7 days of receipt. Claims must be supported by clear evidence (photos or video) and are subject to review. Whitesparkles reserves the right to repair, replace, or credit defective items at its discretion.

10. Confidentiality

All discussions, designs, specifications, and materials shared between Whitesparkles and the client are considered confidential and will not be disclosed to third parties without written consent.

11. Intellectual Property

Any design or concept provided by the client remains their intellectual property unless otherwise transferred. Designs developed by Whitesparkles may be retained as proprietary unless explicitly assigned or licensed to the client under separate agreement.

12. Limitation of Liability

Whitesparkles shall not be liable for any indirect, incidental, or consequential damages arising from the use of our products or services. Our liability is limited to the total value of the affected order.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Thailand. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Bangkok.

14. Amendments

We may update these Terms from time to time. The latest version will always be available on our website. Continued use of our services implies acceptance of the current Terms.
